Accepting these Terms

TL;DR: This is a legal document. If you use Unit, you agree to the terms.
Please read these Terms of Service (“Terms”, “Terms of Service”, “Terms and Conditions” or “Agreement”) carefully before using the Unit website or mobile applications (together, or individually, the “Service”) operated by Unit team (“Unit”, “us”, “we” or “our”).
These Terms are a legal agreement between you and us for use of the Unit Service and apply to all visitors, users and others who wish to access or use the Service.

If you access or use the Service, it means you agree to be bound by these Terms. If you don’t agree to all of the terms below, you do not have permission to access the Service. Also, if a term does not make sense to you, please let us know by e-mailing support@unit.ms.

Privacy Policy

Communications

TL;DR: We can send you emails.
By creating an Account on our service, you agree to subscribe to newsletters or marketing materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or instructions provided in any email we send.

Third-Party Services

TL;DR: We’re not responsible for third-party services.
From time to time, we may provide you with links to third party websites or services that we do not own or control. Your use of the Service may also include the use of applications that are developed or owned by a third party.

Your use of such third party applications, websites, and services is governed by that party’s own terms of service or privacy policies. We encourage you to read the terms and conditions and privacy policy of any third party application, website or service that you visit or use.

You acknowledge and agree that Unit shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third party web sites or services.

Accounts

TL;DR: You’re responsible for your account’s safety.
When you create an account or use another service to log in to the Service, you agree to maintain the security of your password and accept all risks of unauthorized access to any data or other information you provide to the Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

Children

TL;DR: Unit is not directed to children.
Unit is not directed to children, and we expect that any use by children will only be done with the guidance, supervision and consent of their parents, guardians and/or authorized school officials. Unit relies on parents and guardians to ensure that minors only use Unit if they can understand their rights and responsibilities as laid out in these Terms of Service and in our Privacy Policy.

Subscriptions

TL;DR: We have paid functionality. If you want it, you can pay for it.
Some parts of the Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set on a monthly or yearly basis.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Unit cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting Unit customer support team.

A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide Unit with accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize Unit to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Unit may attempt to charge the credit card on file one or more times. Should payment continue to fail, the subscription will be cancelled.

Free Trial

TL;DR: Our free functionality can be modified.
Unit may, at its sole discretion, offer a Subscription with a free trial for a limited period of time (“Free Trial”).

At any time and without notice, Unit reserves the right to (1) modify the terms and conditions of the Free Trial offer, or (2) cancel such Free Trial offer.

Fee Changes

TL;DR: Our fees can be changed.
Unit, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Unit will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refunds

TL;DR: Contact us if you want to refund.
Certain refund requests for Subscriptions may be considered by Unit on a case-by-case basis and granted in sole discretion of Unit.

Content

TL;DR: Your content is yours. You’re responsible for it.
Our service allows you and other users to post, upload, download, store and share content, including but not limited to, information, text, graphics, videos, audios, or other material (“Content”). You are responsible for the content that you make available to the Service, including its legality, reliability, and appropriateness.

By using the Service and posting/uploading Content, you represent and warrant that (1) the Content is yours and/or you have the right to use it and the right to grant us rights and licenses as provided in these Terms, (2) it does not infringe or violate any third party rights, privacy rights, publicity rights, copyrights, trademarks, contract rights, or any other intellectual property or rights of any person or entity, (3) you grant us and our service partners the right and licence to host, store, display and reproduce such Content to enable Unit to operate the Service, (4) you agree that Unit, in performing the required technical steps to provide the Service to our users, may make such changes to your Content as are necessary to conform and adapt that Content to the technical requirements of connecting networks, devices, services or media, (5) you agree that Unit has the right to elect not to accept, host, store, display, publish or transmit any Content in our sole discretion, (6) you agree that these rights and licenses are royalty free, transferable, sub-licensable, worldwide and irrevocable.

We reserve the right to terminate any account, to remove or refuse to distribute any Content on the Service, such as Content which violates these Terms.

You retain any and all of your rights to any Content you submit, post, upload or display on or through the Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party posts on or through the Service.

Any content stored on the Service will be stored indefinitely, unless it is explicitly deleted. This process is described under “Data Deletion and Account Termination”.

Data Deletion and Account Termination

TL;DR: You can delete all of your data at any time. We also have a right to terminate your account.
You can remove the content that you posted by deleting it. Once you delete your content, it will not appear on the Service, but copies of your deleted content may remain in our system or backups for some period of time. We will retain web server access logs for a maximum of 30 days and then delete them.

If you wish to terminate your account, please contact support@unit.ms.

We may terminate or suspend your account, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Modifications to the Service

TL;DR: We can modify and terminate this service.
Unit reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice at any time. You agree that Unit shall not be liable to You or to any third party for any modification, suspension, termination or discontinuance of the Service.

Disclaimer of Warranties

TL;DR: We are not liable if something goes really wrong.
Unit makes no representation, warranty, or guarantee as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Services. Unit does not represent or warrant that (1) the use of the Services will be secure, timely, uninterrupted or error-free or operate in combination with any other hardware, software, system or data, (2) the Service will meet your requirements or expectations (3) errors or defects will be corrected, or (4) the Services are free of viruses or other harmful components. The Service is provided by Unit on and “as is” and “as available” basis without warranties of any kind, either expressed or implied, including without limitation, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, are hereby disclaimed to the maximum extent permitted by law. You expressly agree that use of the Services is at your sole risk.

Intellectual Property

TL;DR: Respect our brand.
We put a lot of effort into creating the Service including, the logo and all designs, text, graphics, pictures, information and other content (excluding your content). This property is owned by us or our licensors and it is protected by international copyright laws. We grant you the right to use it.

However, unless we expressly state otherwise, your rights do not include: (1) using any data mining, robots or similar data gathering or extraction methods; (2) downloading (other than page caching) of any portion of the Service or any information contained therein; (3) reverse engineering or accessing the Service in order to build a competitive product or service.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Unit.

Copyright Complaints

TL;DR: We respect the intellectual property rights.
We take intellectual property rights seriously. In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable law, we have adopted a policy of terminating, in appropriate circumstances and, at our sole discretion, access to the service for users who are deemed to be repeat infringers.

Changes to these Terms

TL;DR: These terms can be changed.
Unit reserves the right, at its sole discretion, to modify or replace the terms of this Agreement at any time. If the alterations constitute a material change, Unit will notify you by posting an announcement on the Unit website. What constitutes a material change will be determined at Unit’s sole discretion. You shall be responsible for reviewing and becoming familiar with any such modifications. Using our Services following notification of a material change to this Agreement shall constitute your acceptance of the Agreement as modified.

Please let us know what you think of the Service, these Terms and, in general, Unit. When you provide us with any feedback, comments or suggestions about the Service, these Terms and, in general, Unit, you irrevocably assign to us all of your right, title and interest in and to your feedback, comments and suggestions.
